TERMS OF SERVICE
Effective Date: September 30, 2025
These Terms of Service (“Terms”) govern your access to and use of PDQE (the “Service”), developed and published by Teunis Matthijs Kralt (“PDQE,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility & Accounts
You must have authority to bind your organization if you use the Service for business purposes. You are responsible for your account credentials and for all activity under your account.
2. Privacy & Data Processing
Your use of the Service is subject to our Privacy Policy. If you enter personal data about your customers into the Service, the Data Processing Agreement (DPA) applies and forms part of these Terms.
3. License & Acceptable Use
We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You will not: (a) reverse engineer, decompile, or attempt to access source code; (b) interfere with or disrupt the Service; (c) use the Service to store or transmit malicious code or unlawful content; (d) circumvent security or rate limits; or (e) misuse the Service in violation of applicable law.
4. Customer Content & Emails
You retain ownership of content you submit to the Service. You instruct PDQE to process that content to operate the Service, including generating quotations and PDFs and sending transactional emails to recipients you designate. You are responsible for the legality and accuracy of content you upload and the recipients you choose.
5. Subprocessors & Data Residency (Summary)
PDQE primarily processes data in Asia (Singapore). Limited processing may occur in the United States by named providers for error monitoring and email delivery, as described in the Privacy Policy and DPA.
6. Security
We implement reasonable and appropriate security measures as described in the Privacy Policy and DPA. You are responsible for using secure networks and connections when submitting data. Transmissions over insecure connections (e.g., plain HTTP) may be intercepted and are outside our control.
7. Third-Party Services
The Service may interoperate with third-party services (e.g., email delivery, error monitoring, sign-in). We are not responsible for those services; their terms and privacy policies apply.
8. Changes, Availability & Support
We may modify or discontinue features with reasonable notice where practical. The Service may be unavailable from time to time. We provide support as described in the Service and documentation.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PDQE NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR USD $100 IF NO SUCH AMOUNTS WERE PAID).
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, unlawful use, or risk to the Service or others. Upon termination, we will handle your data as described in the Privacy Policy and DPA.
12. Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Courts located in Singapore will have exclusive jurisdiction, and you consent to their venue.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app or by email). Your continued use after the effective date constitutes acceptance.
